California forces corporations to pozz themselves further
California has become the first state to require publicly traded companies to include women on their boards of directors, one of a series of laws boosting or protecting women that Gov. Jerry Brown signed Sunday.
The measure requires at least one female director on the board of each California-based public corporation by the end of next year. Companies would need up to three female directors by the end of 2021, depending on the number of board seats.
The Democratic governor referenced the objections and legal concerns that the law has raised. The California Chamber of Commerce has said the policy will be difficult for companies to implement and violates constitutional prohibitions against discrimination.
“I don’t minimize the potential flaws that indeed may prove fatal to its ultimate implementation,” Brown wrote in a signing statement. “Nevertheless, recent events in Washington, D.C. — and beyond — make it crystal clear that many are not getting the message.”
Whatever happened to working your way up the ladder? Oh yeah, we have to lower standards to let less qualified people be "included". Heaven forbid we live in a meritocracy where the strongest candidate gets the job.

Over 60 percent of publicly traded American companies are registered in Delaware. It has nothing to do with local taxes per se, rather, companies registered in Delaware do not need to pay income tax when operating outside the state. Furthermore their lax usury laws means credit companies registered in Delaware can charge high interest rates on loans. Delaware actually has a significant tax for banks operating in the state as a matter of fact.

For the record, companies pay "tax" to whatever state they extract resources from. The exception is states without state "income tax". Can't imagine many companies not doing business with states like California or New york.

When European countries did this it brought about more mismanagement. The companies that added women to their boards had larger boards, more board members with the same surname, were more frequently acquired by other firms, and generally performed worse. On the macro level many firms sought to evade the regulations by reincorporating overseas or changing their entity structure. These evasions lead to capital flight and reduced market transparency.

Depends on the wording of the law. They may look past the incorporation and go straight to domicile based where the primary operation or even significant operation is. California obviously a ton of companies there are inc. in DE or NV, so they normally aren't going to make a law that be evaded that easily.
